Administrative Guidance (Warning) from the Fair Trade Commission

As announced on November 19, 2024 *1, ITOKI CORPORATION (Representative Director and President: Koji Minato) underwent a voluntary investigation by the Japan Fair Trade Commission regarding transactions with businesses to which it has outsourced logistics operations, and has cooperated fully and sincerely with the investigation.

Today, we received administrative guidance (warning) from a business operator to whom we have outsourced logistics operations (hereinafter referred to as the "outsourced logistics business operator") on the grounds that (1) the outsourced logistics business operator is suspected of performing work other than the delivery location free of charge, and (2) of having the outsourced logistics business operator perform incidental work related to transportation operations free of charge. The said actions are deemed to be in violation of Article 19 of the Antimonopoly Act, as falling under Item 6 of Paragraph 1 of the "Specific Unfair Trade Practices When a Specified Shipper Entrusts the Transportation or Storage of Goods" (so-called "Special Logistics Designation").

Our company takes this administrative guidance (warning) extremely seriously and will continue to work across the company to promote efforts to improve fair transactions with our contracted logistics companies and build appropriate relationships.

As specific efforts to improve fairness in transactions with outsourced logistics companies, we will promote the following activities.

- Payment by the outsourced logistics company of the amount equivalent to the compensation for the actual work carried out in the past
・Review and document future freight rates with contracted logistics companies
・Appointment of personnel with knowledge of logistics compliance and thorough education and training
・ Thoroughly publicize the details of the initiative both inside and outside the company
・Report to the Fair Trade Commission after the above initiatives are completed

We would like to offer our deepest apologies to our contracted logistics companies, customers, business partners, and all other related parties for the inconvenience caused.
Going forward, we will continue to promote the above initiatives while also thoroughly complying with all applicable laws and regulations, including the Antimonopoly Act.

The impact of this matter on our business performance is currently under review. We will promptly notify you if any disclosure obligations under the Timely Disclosure Rules apply.
